License- Nakdan for Microsoft Word

SITE LICENSE AGREEMENT

IMPORTANT: Please keep a copy of this agreement in your permanent records.

This agreement is made between T.E.S. and the School Listed on this Invoice

The “Site License” grants permission to use, run or copy Nakdan for Microsoft Word  on as many computers as the Quantity listed in this Purchase.

If the number of computers in a school/institution building increases above the limits of the license, it is the responsibility of the Licensee to inform T.E.S. for any changes immediately.

Purchaser aknowledges - The software may not be used outside of the school buildings.

Grant of Rights. T.E.S. will hereby grant Licensee a nonexclusive license as described in this Agreement to use (and to copy for such use) the Software on all computer systems which are part of the Site License; provided, however, that Licensee shall not use the Software on any computer system, workstation, or terminal which is not part of the Site License. Licensee must reproduce all original copyright notices and claims of confidentiality or trade secrets in the software on all copies of the software. Neither licensee nor any person using the Software pursuant to this License shall have any right to copy or reproduce in any manner the documentation and manuals for the Software, but T.E.S. will sell additional copies or user documentation and manuals to the Licensee itself (but not to others using the Software pursuant to this license) for use in connection with and under this License, on such terms as T.E.S. may make available from time to time.

Proprietary Rights. The software is confidential, proprietary information in which T.E.S., its authors, suppliers, and/or developers (collectively the “Owners”) claim trade secret rights. The Software is protected by copyright laws, and no unauthorized copying or distribution of, or another act with respect to the Software is allowed that would violate those laws. The Licensee may not modify, reverse engineer, decompile or disassemble the Software and may not deliver copies to, or sell, rent, lease or sublicense the Software to, anyone else.

Support. Licensee agrees that all product usage and application questions from Licensee’s individual users will be directed to the Site License Administrator selected by Licensee. T.E.S. is not obligated to respond to the inquiries from anyone other than the Site License Administrator. Licensee agrees that direct support of or contact with the individual users of the Software is beyond the scope of this Agreement.

Limited Warranty. T.E.S. warrants to the Licensee (but no one else) that the product delivered to the Licensee on which the Software is recorded is free from defect in material and faulty workmanship under normal use. This warrant does not cover items damaged, modified or misused after delivery to Licensee.

THIS WARRANTY IS IN LIEU OF ALL OTHER EXPRESS WARRANTIES ON THE SOFTWARE. THE SOFTWARE ITSELF IS LICENSED “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES WHATSOEVER. THE OWNERS, THEIR DISTRIBUTORS, AND THEIR DEALERS SHALL IN NO EVENT BE LIABLE FOR ANY INDIRECT INCIDENTAL OR CONSEQUENTIAL DAMAGES WHETHER RESULTING FROM DEFECTS IN THE DISK OR FROM ANY DEFECT IN THE SOFTWARE ITSELF OR DOCUMENTATION THEREOF. IN NO EVENT SHALL THE LIABILITY OF THE OWNERS FOR DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE SOFTWARE EXCEED THE LICENSE FEE ACTUALLY PAID BY THE LICENSEE.

Term. This Agreement is effective until terminated. Licensee may terminate it by destroying the program, documentation and all copies thereof and informing T.E.S. in writing that it has done so. This Agreement will also terminate if the Licensee fails to comply with any term or condition of this Agreement. Licensee agrees, upon such termination, also to destroy all copies of the program and, documentation.

Miscellaneous. This Agreement is the entire agreement between T.E.S. and Licensee concerning the Software. This agreement many not and cannot be assigned or transferred, in whole or in part, by Licensee, and Licensee agrees that the terms and conditions of this Agreement constitute confidential proprietary information of T.E.S. and licensee agrees not to use this Agreement or its terms or conditions for any commercial purpose of Licensee or others, agrees not to disclose its terms to anyone other than those employees of Licensee having a need to know in connection with the execution, delivery and administration of this Agreement. Your purchase is evidence of agreement with the above TES License terms.
